Terms of Service

These terms set out what you can expect from the OpenPlanr hosted services and what we expect from you. The open-source CLI is covered by its own license; these terms apply to the hosted company application and the accounts, organizations, and content within it.

Acceptance and eligibility

These terms govern your use of the OpenPlanr website at openplanr.dev, the hosted company application at app.openplanr.dev, and the related hosted services that support it (together, the "Hosted Services"). By creating an account or using the Hosted Services, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Hosted Services.

The Hosted Services are intended for professional use. You must be at least 18 years old and legally able to enter into these terms to use them. If you use them on behalf of an organization, you confirm that you have authority to bind that organization to these terms, and "you" includes that organization.

Open-source components and hosted services

The OpenPlanr CLI, local planning tools, and other open-source components are licensed under their own open-source licenses (primarily the MIT License) as stated in their repositories. Those licenses, not these terms, govern your use of that software, and nothing in these terms limits the rights they grant you.

The Hosted Services are separate from the open-source software. These terms apply to the Hosted Services, including your account, your organizations and workspaces, and content stored or shared through them.

Accounts and organizations

  • You are responsible for the accuracy of your account information and for keeping your sign-in credentials and devices secure.
  • You are responsible for activity that occurs under your account. Tell us promptly at security@openplanr.dev if you suspect unauthorized access.
  • Organization owners and administrators control who is a member, what roles members hold, and what content the organization stores. They are responsible for their members' use of the Hosted Services within the organization.
  • If you join an organization, its owners and administrators may manage your access to that organization's content, including removing it.

Acceptable use

You agree not to use the Hosted Services to do any of the following.

  • Violate any law or the rights of others.
  • Upload or share content that is unlawful, infringing, malicious, or that you do not have the right to share.
  • Probe, scan, or test the vulnerability of the Hosted Services or circumvent any access control. Coordinated disclosure to security@openplanr.dev is welcome.
  • Interfere with the operation of the Hosted Services, including by sending excessive automated requests or malware.
  • Access another user's account or content without authorization, or impersonate any person or organization.
  • Resell, sublicense, or provide the Hosted Services to third parties as a standalone service without our written consent.

Your content

You retain ownership of the plans, specifications, artifacts, designs, comments, and other content you submit to the Hosted Services ("Your Content"). We do not claim ownership of it.

So that we can operate the Hosted Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content only as needed to provide, secure, and support the Hosted Services for you and the people you share with, and as otherwise permitted by our Privacy Policy. This license ends when Your Content is deleted from the Hosted Services, except where retention is described in the Privacy Policy.

You are responsible for Your Content and confirm that you have the rights needed to submit it and to grant the license above.

Sharing and collaboration

The Hosted Services let you share artifacts with organization members and with guests outside your organization, for example for review. When you share content:

  • you decide who receives access and what they can do, and you are responsible for those choices;
  • recipients may view, comment on, or otherwise interact with the content according to the access you grant;
  • you can revoke a share or a guest's access at any time, but recipients may have already seen, saved, or copied what you shared while access was active; and
  • guests must also follow these terms, and we may limit or remove guest access to protect the service or other users.

Fees and subscriptions

Some features of the Hosted Services may be offered under a paid plan or an order that describes the fees, billing period, and any other commercial terms. Fees apply only where you have agreed to such a plan or order, and those documents govern billing for the features they cover. Where a feature is offered without charge, we may change or withdraw it as described below.

Service changes, availability, suspension, and termination

We work to keep the Hosted Services available, but they are provided on an as-available basis and may be interrupted for maintenance, updates, or reasons outside our control. We may add, change, or discontinue features, and will try to give reasonable notice of changes that materially reduce functionality you rely on.

We may suspend or restrict access to your account or content where we reasonably believe it is necessary to comply with law, protect the security or integrity of the Hosted Services, or address a violation of these terms. Where practical, we will notify you and give you an opportunity to resolve the issue.

You may stop using the Hosted Services and ask us to delete your account at any time by contacting support@openplanr.dev. On termination, your right to use the Hosted Services ends, and we handle Your Content as described in the Privacy Policy. Sections that by their nature should survive termination, including those on your content, feedback, disclaimers, and limitation of liability, will survive.

Feedback

If you send us suggestions, ideas, or other feedback about OpenPlanr, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you. Feedback does not include Your Content.

Third-party services

The Hosted Services and the open-source tools may connect to third-party services you choose, such as sign-in providers, AI models, coding agents, or source-code hosts. Your use of those services is governed by their own terms and policies. We are not responsible for third-party services, and connecting them may result in your data being sent to and processed by them.

Disclaimers

The Hosted Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Hosted Services will be uninterrupted, error-free, or secure, or that plans and other output produced with OpenPlanr will be accurate or fit for your purposes. You are responsible for reviewing output before relying on it.

Limitation of liability

To the fullest extent permitted by law, OpenPlanr and the people who build and operate it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these terms or the Hosted Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims relating to the Hosted Services is limited to the amount you paid us for the Hosted Services in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Changes to these terms

We may update these terms from time to time. When we do, we will change the date at the top of this page and, for material changes, provide additional notice such as an email or an in-product message. Continuing to use the Hosted Services after a change takes effect means you accept the updated terms.
